Performance Test of Document Markup Tools

Welcome to the first comprehensive performance test of legal document comparison tools!

Legal document authors often move existing text while editing. Failure to detect such changes leads to cluttered, unreadable redlines.

Therefore, we assess each comparison tool's ability to detect edited and moved content. Each test evaluates the result of comparing an original and a changed document.

Tools pass if they detect all edits and moves, and fail if they miss any moves, producing cluttered outputs.

Each category has 3-4 tests represented by bars. Bar length means test difficulty, bar color is green (pass) or red (fail). For example:

means the tool passed the easy and medium tests but failed the hard test.

Tests are grouped into three categories: list order, section order, and cross moves.

Exceptions
The obligations of Recipient under Clause 2 shall not apply to any Confidential Information which the Recipient can demonstrate:
is disclosed to Recipient by a third party who is entitled to disclose it without breaching a confidentiality obligation to the Company, any of its Affiliates or any third party;
is (at the time of disclosure) or becomes (after the time of disclosure) known to the public through no breach of this Agreement by Recipient;
is disclosed to Recipient by a third party who is entitled to disclose it without breaching a confidentiality obligation to the Company, any of its Affiliates or any third party;
as shown by written records, was known to, or was otherwise in the possession of, Recipient prior to the time of disclosure by the Company; or
as shown by written records, is developed by Recipient independently of any Confidential Information disclosed under this Agreement.
